        support to a recipient’s profile or campaign on the Platform.
      </p>

        2.3 Recipient: The individual or group who receives funds or rewards
        through the Platform for their campaign or profile.

        2.4 Learner: A user who accesses and participates in educational
        content, courses, or other learning activities on the Platform.
      </p>
      <p>
        2.5 Platform: The suite of online services provided by Ambition,
        including the website, mobile applications, and any associated tools
        or features.
      </p>
      <p>
        2.6 Rewards: Points earned by users through participation on the
        Platform that can be redeemed for gift cards or other specified
        benefits.
      </p>
      <p>
        2.7 User: Any individual or entity that accesses, registers for, or
        uses the Platform, including contributors, recipients, learners, and
        content creators. Users may assume multiple roles simultaneously
        (e.g., being both a Learner and a Recipient).

        2.8 User Content: Any content, including text, images, videos, or
        other materials, that a User posts, uploads, submits, or otherwise
        makes available on the Platform.
      </p>
      <p>
        2.9 Prohibited Activities: Actions that violate these Terms, including
        but not limited to fraudulent campaigns, harassment, or other
        unauthorized uses of the Platform.
      </p>

      <h2>3. Platform Services</h2>
      <p>
        3.1 Description of the Services Provided: Ambition offers a versatile
        Platform that combines educational services, crowdfunding tools, and
        reward-based incentives. Users can access and participate in courses,
        contribute funds to recipient profiles, and earn points that can be
        redeemed for gift cards. These services aim to empower individuals
        through education and community support.
      </p>
      <p>
        3.2 Our Role and Limitations: The Platform provides tools and
        resources for education and crowdfunding but does not directly manage
        or guarantee the outcomes of user activities. We are not a bank,
        financial advisor, or charity. All decisions regarding contributions,
        participation, and reliance on information shared through the Platform
        are solely the responsibility of the User. Users should exercise
        caution and discretion when interacting with others on the Platform.
      </p>

        3.3 Modification, Suspension, or Termination of the Services: We
        reserve the right to update, change, suspend, or discontinue any
        aspect of the Platform at any time. While we will strive to provide
        advance notice where possible, there may be situations requiring
        immediate action. We are not liable for any inconvenience or losses
        resulting from such changes.

        4.7 Single Account Policy: Each user is permitted to create and
        maintain only one account on the Platform. Creating or using multiple
        accounts to gain additional rewards, bypass restrictions, or for any
        other purpose is strictly prohibited. Violation of this policy may
        result in the suspension or termination of all associated accounts and
        forfeiture of any rewards or benefits accrued through unauthorized
        accounts. If you believe your account has been compromised or need

      <h2>5. Crowdfunding Features</h2>
      <p>
        5.1 Setting Up Campaigns or Profiles: Users can create a profile to
        receive contributions by providing accurate information about their
        goals, purpose, or needs. By setting up a profile, you agree to ensure
        that all content, including descriptions, images, and updates, is
        truthful, accurate, and complies with the Platform’s guidelines.
      </p>
      <p>
        5.2 Use of Funds: Contributions received through the Platform may be
        used at the discretion of the recipient and are not guaranteed to be
        used for the specific purpose stated on their profile. While
        recipients are encouraged to honor the intentions expressed in their
        profiles, contributors acknowledge that the Platform does not monitor
        or enforce how funds are ultimately used.
      </p>
      <p>
        5.3 Contributor Responsibilities: Contributors are solely responsible
        for verifying the credibility and legitimacy of recipient profiles
        before making contributions. The Platform does not guarantee the
        validity of any campaign or profile and is not liable for the actions
        of recipients.
      </p>
      <p>
        5.4 Contributions and Platform Fees: Contributors choose a platform
        fee in addition to their contribution amount. These fees help maintain
        and improve the Platform. All contributions are final and
        non-refundable.
      </p>
      <p>
        5.5 Disbursement of Funds: Funds contributed to a profile are held by
        a nonprofit organization that manages the distributions, not by the
        Platform. Contributions will be processed and made available to the
        recipient 7 days after the contribution is made. However, recipients
        must complete the required educational activities associated with
        their profile to earn and access the rewards. Only the platform fee,
        selected by the contributor, is collected directly by the Platform.
        Failure to meet the educational requirements may result in delays or
        forfeiture of the disbursed rewards.
      </p>
      <p>
        5.6 Fraudulent or Misleading Campaigns: The Platform actively monitors
        for fraudulent or misleading campaigns. If a campaign or profile is
        flagged for suspicious activity, the Platform may suspend the profile,
        withhold funds, or take other corrective actions. Users can report
        fraudulent activity by contacting us directly.
      </p>
      <p>
        5.7 Public Information: Currently, contribution details, including the
        contributor’s name, contribution amount, location, and an optional
        message, are shared privately with the recipient. These details are
        not displayed publicly on recipient profiles. This policy may be
        subject to change at the discretion of the Platform.
      </p>

      <h2>6. Payments</h2>
      <p>
        6.1 Payment Processing: All payments are processed through third-party
        payment providers, such as Stripe. By making a contribution, you agree
        to the payment provider’s terms and conditions, which govern the
        processing of your payment. The Platform does not store or manage
        payment information directly.
      </p>
      <p>
        6.2 Refunds: All contributions are final and non-refundable.
        Contributors acknowledge that the Platform does not provide refunds
        under any circumstances, including disputes with recipients over the
        use of funds.
      </p>
      <p>
        6.3 Taxes: Contributors are responsible for determining and paying any
        applicable taxes related to their contributions. The Platform does not
        provide tax advice and makes no representations about the
        tax-deductibility of contributions.
      </p>
      <p>
        6.4 Chargebacks: In the event of a chargeback or payment dispute, the
        Platform reserves the right to suspend the contributor’s account and
        investigate the matter. If the chargeback is deemed valid, the
        Platform may deduct the disputed amount from the recipient’s account
        or take other corrective actions as necessary.
      </p>

      <h2>7. Prohibited Activities</h2>

      <p>
        By using the Platform, you agree not to engage in any of the following
        activities. Violations of this section may result in the suspension or
        termination of your account, withholding of funds, or other corrective
        actions, including reporting to law enforcement authorities when
        necessary.
      </p>

      <p>
        7.1 Prohibited User Content: Do not upload, post, or otherwise
        transmit any content that:
      </p>
      <ul>
        <li>
          (i) infringes on the intellectual property or other proprietary
          rights of any party;
        </li>
        <li>
          (ii) you do not have the legal right to share under any law or
          contractual obligation;
        </li>
        <li>
          (iii) contains malware, viruses, or harmful code designed to
          disrupt, damage, or interfere with any systems or networks;
        </li>
        <li>
          (iv) violates the privacy, safety, or security of another person; or
        </li>
        <li>
          (v) constitutes spam, unsolicited promotions, pyramid schemes, or
          other forms of solicitation.
        </li>
        <li>
          (vi) includes nudity, sexually explicit content, or other obscene
          material.
        </li>
      </ul>

      <p>7.2 Misuse of the Platform:</p>
      <ul>
        <li>
          Do not create or post false, misleading, or fraudulent campaigns or
          profiles.
        </li>
        <li>
          Do not impersonate others, misrepresent your affiliation with any
          person or entity, or create multiple accounts to exploit rewards or
          bypass policies.
        </li>
        <li>
          Do not use another User’s account or credentials without
          authorization.
        </li>
      </ul>

      <p>7.3 Unauthorized Access:</p>
      <ul>
        <li>
          Do not attempt to gain unauthorized access to the Platform,
          including user accounts, computer systems, or networks connected to
          the Platform.
        </li>
        <li>
          Do not interfere with the proper functioning of the Platform, such
          as disrupting servers, overloading networks, or circumventing access
          controls.
        </li>
      </ul>

      <p>7.4 Personal Data and Privacy:</p>
      <ul>
        <li>
          Do not collect, scrape, or share personally identifiable information
          of other users without their consent.
        </li>
        <li>
          Do not post personal data or other private information about third
          parties without their explicit authorization.
        </li>
      </ul>

      <p>7.5 Fund Misuse:</p>
      <ul>
        <li>
          Contributions must not be made or accepted if they are known or
          suspected to be fraudulent, erroneous, or suspicious.
        </li>
        <li>
          Recipients are encouraged to honor their stated purposes for
          contributions but are not legally bound to do so, as outlined in the
          {`"`}Use of Funds{`"`} section.
        </li>
      </ul>

      <p>7.6 Compliance with Laws:</p>
      <ul>
        Do not use the Platform for activities prohibited by applicable local,
        state, national, or international laws, including sanctions and
        embargoes enforced by the U.S. Office of Foreign Asset Control (OFAC).
      </ul>

      <p>7.7 Security and Integrity:</p>
      <ul>
        Do not share your account credentials or allow others to use your
        account. You are responsible for maintaining reasonable security
        measures to protect your account and any communications transmitted
        through the Platform.
      </ul>

      <p>7.8 Excessive Requests:</p>
      <ul>
        Do not transmit more requests or messages through the Platform than is
        reasonable for human use through conventional means.
      </ul>

      <p>7.9 Cooperation with Investigations:</p>
      <ul>
        <li>
          At the Platform{`'`}s request, you agree to cooperate with
          investigations into suspected violations of these Terms, whether
          conducted by the Platform, a payment processor, or a regulatory
          authority.
        </li>
      </ul>

      <p>7.10 General Restrictions:</p>
      <ul>
        <li>
          Do not undertake any activities that are inconsistent with the
          purpose of the Platform, such as creating campaigns for prohibited
          goods or services or using the Platform for personal profit
          unrelated to its stated mission.

      <h2>8. Content Ownership and Licenses</h2>

        8.1 Ownership of Platform Content: The content, software, and
        technology that power the Platform, including but not limited to text,
        graphics, logos, and designs, are owned by Empathy Labs Inc., its
        affiliates, or partners and are protected under copyright, trademark,
        patent, and other intellectual property laws. All rights not expressly
        granted to you under these Terms are reserved.
      </p>
      <p>
        8.2 User Content and Permissions: When you share content on the
        Platform, including text, images, videos, or other materials (“User
        Content”), you represent and warrant that:
      </p>
      <ul>
        <li>
          (i) you own or have the necessary rights to upload and share such
          content, including all related copyrights, trademarks, and rights of
          publicity or privacy; and
        </li>
        <li>
          (ii) your content does not violate these Terms or any applicable
          laws.
        </li>
      </ul>

        By uploading or sharing User Content, you grant Empathy Labs Inc. a
        worldwide, non-exclusive, royalty-free license to use, reproduce,
        display, modify, distribute, and create derivative works of your
        content solely for the purposes of operating, improving, promoting,
        and marketing the Platform. This license is revocable by you upon
        account termination, except to the extent that your content has been
        shared publicly or incorporated into ongoing promotional materials.
      </p>

      <p>8.3 Restrictions on Use of Platform Content: You agree not to:</p>
      <ul>
        <li>
          (i) copy, modify, distribute, sell, or lease any part of the
          Platform or its content;
        </li>
        <li>
          (ii) create derivative works based on the Platform’s technology or
          software;
        </li>
        <li>
          (iii) reverse-engineer, disassemble, or otherwise attempt to
          discover the source code of the Platform; or
        </li>
        <li>
          (iv) bypass any measures used to prevent or restrict access to the
          Platform.
        </li>
      </ul>

      <p>8.4 Copyright or Trademark Complaints:</p>
      <p>
        We respect the intellectual property rights of others. If you believe
        that content on the Platform infringes your copyright or trademark,

          the material is unauthorized;

          penalty of perjury; and

        We will review and respond to all valid notices in accordance with
        applicable laws, including the Digital Millennium Copyright Act (DMCA)
        where relevant.
      </p>

        8.5 User Submissions and Feedback: If you provide suggestions, ideas,
        or other feedback to Empathy Labs Inc. regarding the Platform
        (“Feedback”), you agree that:

          (i) your Feedback is voluntary and given without expectation of
          compensation;
        </li>
        <li>
          (ii) we are free to use the Feedback for any purpose without
          restriction; and

          (iii) you grant us a perpetual, irrevocable, royalty-free license to
          use, reproduce, modify, distribute, and incorporate your Feedback
          into the Platform.

        8.6 Release and Waiver: By posting User Content, you agree to release
        and waive any claims related to privacy, publicity, or defamation that
        may arise from the use of your content by Empathy Labs Inc. in
        accordance with these Terms. If your content includes others, you
        warrant that you have obtained their consent to share and license
        their likeness or information.
      </p>

      <h2>9. Rewards System</h2>

        9.1 Earning Rewards: Users can earn reward points by completing
        specific educational activities, participating in approved platform
        features, or fulfilling other requirements as outlined on the
        Platform. Reward points are non-transferable and can only be redeemed
        by the user who earned them.

        9.2 Redeeming Rewards: Rewards can be redeemed for gift cards or other
        specified benefits as made available on the Platform. Redemption
        options and thresholds may vary and are subject to change at the
        discretion of the Platform.

        9.3 Reward Expiration: Currently, reward points do not expire and can
        be redeemed at any time. However, the Platform reserves the right to
        introduce expiration guidelines in the future. Any changes to the

        complete the designated educational activities. Partial completion of

        suspension, account termination, or forfeiture of accumulated rewards.

        10.1 Purpose of Promotional Codes: Promotional codes are distributed
        by approved individuals, organizations, or entities and may include a
        predetermined contribution amount for the recipient. These codes are

        10.2 Eligibility for Code Redemption: Promotional codes can only be
        redeemed by verified high school students. Verification requirements
        may include proof of enrollment or other criteria determined by the

        10.3 Redemption and Rewards: Upon redemption, the contribution
        associated with the code will be allocated to the recipient’s account.

        within 90 days of redeeming the code to earn the associated rewards.

          The Platform reserves the right to reject or invalidate any code if
          it is found to be obtained or used fraudulently or in violation of

        11.3 Public Visibility and Privacy Settings: Some actions on the
        Platform may be publicly visible, such as profile information or
        content you upload (e.g., descriptions, images, or videos). While
        contributors’ details are shared privately with recipients, other
        information you choose to share may be accessible to other users.
        Please review your privacy settings to manage what is shared publicly
        and what remains private.

        11.4 Third-Party Data Sharing: When sharing information about third
        parties on the Platform (e.g., referring someone or sharing
        user-generated content), you represent and warrant that you have the
        necessary consent to share their data. You also agree that the
        Platform may use such data for communication purposes or to provide
        services related to the shared information.

        11.5 Data Security Measures: We use third-party platforms with robust
        security measures to process and store user data. However, no system
        is entirely secure, and we cannot guarantee the absolute security of
        your information. Users are encouraged to take steps to protect their
        account credentials and notify us immediately of any suspected

        binding arbitration instead of in court. This agreement includes any

        Association (AAA) under its Consumer Arbitration Rules. The
        arbitration will take place in the county of your residence or another
        mutually agreed location and will be confidential.

        12.3 Class Action Waiver: You agree to resolve any Dispute on an
        individual basis and waive your right to participate in any class,
        collective, or representative action. Arbitration under this agreement
        shall not involve multiple parties unless all parties agree.

        12.4 Exceptions to Arbitration: The following Disputes are exempt from
        arbitration:

        <li>Claims that qualify for small claims court.</li>
        <li>Enforcement actions by government agencies.</li>

        will pay any filing fees required by the AAA, subject to reimbursement
        based on the arbitrator’s decision. Each party is responsible for

        The arbitrator’s decision will be final and enforceable in any court
        of competent jurisdiction.

        12.6 Confidentiality: All arbitration proceedings, including
        communications, documents, and outcomes, will remain confidential

        14.3 Limitation of Liability: To the fullest extent permitted by
        applicable law, the Platform and its affiliates are not liable for
        any:

        <li>(ii) loss of profits, goodwill, or data; or</li>
        <li>(iii) other intangible losses resulting from:</li>

        Ambition reserves the right to assume exclusive defense and control of

        such defense and pay all costs, including legal fees, incurred in

        15.2 Release of Claims: To the fullest extent permitted by law, you
        hereby release Ambition and its affiliates from any and all claims,
        demands, damages, losses, or expenses of any kind arising from
        disputes with other users or third parties in connection with the
        Platform.

        If you are a resident of California, you waive the provisions of
        California Civil Code Section 1542, which states:
      </p>

        “A general release does not extend to claims that the creditor or
        releasing party does not know or suspect to exist in his or her favor

        would have materially affected his or her settlement with the debtor
        or released party.”
